Anyone who owns more than 5% of a company must tell the SEC within days, much faster than the quarterly 13F. A Schedule 13D means the holder may push for change: board seats, a sale, buybacks. A Schedule 13G is a passive stake. Index funds, which own 5% of almost everything, are left out.
